Which one to get in terms of sonic and overall operation? Pros and cons? I assume both needs a computer up and running (can't afford NAS option for SB3)?Intend to use it stock only and RCA out, already has 802.1g wireless network.

I don't hang around this board much. I'm mainly a vinyl guy. But I do have two M1001s - one for the house system and one for my own dedicated, two-channel system. I must say that the M1001 running through my Audio Logic 2400 DAC sounds frightenly good.I find the most important thing is the type of file I'm using. I don't get involved with lossless or CD ripping. What I play through the M1001 all comes from a subscription download service. I have tried almost all the mp3 ones and settled on Yahoo. It downloads 192 wma files to my Creative Vision:M AND also while streaming through the 1001. It's the only subscription service I know that uses 192 for streaming. Also, it is the most bug free site I have tried - with Rhapsody being the worst.

Perhaps someone can confirm the rumor that the M1001 with the coax digital connection in the back re-samples audio to 48. The original M1000 with coax digital on the side did not re-sample and supported 44.1.Other than that difference, for me the advantage of the M1000 over the squeezebox is more flexiblity in terms of software. Your only option with SB is Slimserver which to some people is too limiting.
Recently, I have tried the Linksys Music Bridge. It appears to not re-sample (my DAC reports 44.1). It is cheaper than either the M1000 or SB, and can be used with ANY software seamlessly. The downsides I see so far include no display, and no support for ASIO. However, it does support kernal streaming.
The M1001 (not listed on the Roku website anymore) did indeed upsample everything to 48khz, as confirmed in this thread by a Roku employee:
M1000 is SB2 technology. Slimdevices claims sonic improvements in SB3 over SB2 so it implies that SB3 is better than M1000.Howvever, it would be the best if your ears can be the ultimate judge, if you can locate both and keep the winner and return the other one.
SB2 and SB3 are the same internally, only the external design is different.
