When I bought the 802 S2 the difference mentioned in the reviews of that time was the improved tweeter and the elimination of a protection circuit that had a negative effect on the sound. I think that the midrange is better on the 802 s3 as well, but I'm not certain. Worth the difference? Hard to say. I have found the 802 s3 to benefit from all improvements in source, electronics and cables I can throw at them. If you are planning on getting the best in electronics, I'd say it's worth it. If not, probably not. Sorry I can't be more helpfull.Jim E
