First off multiples will also sound better. Never do like 44.1 to 96k it sounds like crap.
Also most hardware upsamplers are near the dac so they act as a jitter reducer.
Software ones only up the amount of data going out the pipe which will always make something sound worse.
Then there's all the reasons not too upsample in the first place but they are covered elsewhere.
